Sabre launches $1B tender offer for 2029 notes with consent solicitation for indenture amendments

Sabre Corporation's subsidiary Sabre Financial Borrower, LLC has started a tender offer to buy back up to $1 billion of its 11.125% Senior Secured Notes due 2029. The offer includes an early tender premium and requires holders to consent to amendments that remove most restrictive covenants and certain default events. The tender offer expires on October 12, 2026, with an early tender deadline of September 25, 2026. Sabre plans to fund the buyback through a new $1.1 billion senior secured notes offering due 2032, but completion depends on financing and other conditions. This move aims to restructure debt terms and improve financial flexibility.
