SYARAT DAN KETENTUAN (BAHASA)

PIALANG PENYALUR AMANAT LUAR NEGERI

Pialang luar negeri yang bertindak sebagai Pialang PALN adalah Alpaca Securities, LLC dan Atomic Vaults Securities, LLC, yang merupakan suatu broker-dealer terdafatar resmi yang tunduk pada United States Securities and Exchange Commission (“SEC”) dan merupakan anggota dari Financial Industry Regulatory Authority (“FINRA”)

SAHAM PECAHAN FRAKSIONAL

Saham pecahan adalah bagian dari kepemilikan ekuitas yang kurang dari satu saham penuh. Pecahan investasi saham memiliki batasan dan batasan tertentu yang harus dipahami investor sebelumnya untuk membeli saham pecahan.

COUNTERPARTY

Saat bertransaksi kontrak pada Layanan ini, Nasabah bertransaksi langsung dengan Pialang PALN dan bukan di bursa atau pasar atau tempat eksternal lainnya. Setiap kontrak yang diperdagangkan tidak dapat dipindahtangankan. Semua posisi terbuka hanya dapat ditutup dengan Pialang PALN.

FAKTOR EKSEKUSI

• Harga - harga Pialang PALN untuk instrumen tertentu ditentukan dengan mengacu pada harga instrumen dasar yang relevan. Pialang PALN memperoleh harga ini dari sumber referensi eksternal pihak ketiga. Untuk instrumen ekuitas Pialang PALN, bursa pihak ketiga akan digunakan untuk mendapatkan harganya.

• Kuantitas - Jumlah maksimum yang dapat diperdagangkan akan ditentukan oleh ketersediaan ekuitas di pasar yang mendasarinya dan dana yang dapat diperdagangkan (daya beli) yang tersedia di akun perdagangan nasabah. Jumlah minimum yang dapat diperdagangkan adalah 0,000000001 saham, tetapi dikenakan minimal $1.

• Tempat pelaksanaan - untuk kontrak yang diperdagangkan pada Layanan ini, Pialang PALN adalah satu-satunya tempat bertransaksi. Pialang PALN akan sepenuhnya melakukan lindung nilai atas semua posisi Pelanggan dengan penyedia likuiditas eksternal, di mana penyedia likuiditas tersebut menggunakan berbagai bursa untuk mengeksekusi instrumen yang mendasarinya. Semua kontrak didukung penuh oleh instrumen dasar yang sesuai.

• Produk - Produk yang ditawarkan melalui Layanan ini berupa kontrak berdasarkan ekuitas terdaftar yang diperdagangkan di pasar Amerika Serikat. Kontrak tersebut dapat diperdagangkan menggunakan mekanisme Saham Tunggal Asing (termasuk ETF) melalui Market Order, Limit Order, atau melalui mekanisme perdagangan Opsi.

  *Waktu/hari perdagangan dapat berubah mengacu pada negara bursa berasal (US) term asuk hari libur perdagangannya.
  *Harap diperhatikan bahwa waktu ini akan berubah saat Daylight Saving Time dimulai di Amerika Serikat, di mana waktu Jakarta akan maju satu jam lebih awal (Daylight Saving Time di Amerika Serikat berlangsung dari musim semi hingga musim gugur).

  *Pada Sesi 1 dan Sesi 3, Nasabah hanya dapat menggunakan pesanan limit order.

  *Perdagangan dengan mekanisme Opsi hanya dapat dilakukan pada Sesi 2

  Nasabah dapat memasukkan pesanan untuk membeli atau menjual saham kapan saja, siang atau malam, namun, pesanan nasabah hanya akan dieksekusi ketika pasar saham buka. Pesanan nasabah akan tertunda sampai pasar buka, atau, dalam kasus limit order, ketika saham mencapai harga limit nasabah.

  Nasabah dapat dengan mudah melihat apakah pasar buka di layar beranda platform perdagangan - ini akan terlihat di layar utama aplikasi, dengan pasar AS menunjukan "Live".

   

DEPOSIT DAN KEBUTUHAN MARGIN

• Perdagangan saham fraksional - Nasabah dapat membeli saham apa pun dari minimal $1.0.

Produk kontrak yang ditawarkan pada layanan ini memiliki kebutuhan margin maximum sebesar 100%. Untuk posisi short, kontrak yang diperdagangkan akan dikenakan margin call saat equity mencapai 70% dan force liquidation saat equity mencapai 10%.

Setiap deposit yang terjadi akan dikonversikan kedalam mata uang USD, dan akan dikenakan kurs konversi berdasarkan system. Begitu juga untuk proses withdrawal akan dikenakan kurs konversi

BIAYA-BIAYA

Transaksi Saham Fraksional

• Komisi Transaksi: 0.5% dari notional + 11% PPN
• Deposit: Sesuai biaya bank
• Penarikan Dana (Withdraw): Sesuai biaya bank
• Biaya bunga: 12% p.a.
• Biaya Bursa: yang lebih kecil antara 0.05% atau $0.1
• Biaya SEC: $22.90 per $1m
• FINRA (TAF): $0.000119/lembar
• Dividen: 15% withholding tax
• Biaya SEC dan FINRA (TAF) akan dibulatkan ke satuan sen terdekat. Biaya ini hanya diberlakukan pada transaksi penjualan.

• Biaya transaksi: $1.5 per kontrak atau minimum $4.5 per transaksi + 11% PPN

• Biaya Regulasi (Penjualan)
  • ORF (Options Regulatory Fee): $0.02685 per kontrak

  • SEC: $0.000008 per total nilai trade (min $0.01)
  • TAF (Trading Activity Fee): $0.00279 Per kontrak (min $0.01)

JENIS AMANAT

Terdapat 4 (empat) jenis amanat pesanan yang berbeda saat ini - pesanan pasar dalam dolar, pesanan pasar dalam saham, limit order dan opsi.

• Market Orders In Dollars

  Jenis pesanan ini memungkinkan nasabah untuk memasukkan pesanan dalam jumlah dolar, dimulai dengan minimal $ 0.3. Transaksi nasabah berlaku dengan harga pasar dan pesanan dieksekusi segera dengan harga pasar yang tersedia (jika pasar buka). Jika pasar tutup, pending order dibuat dan pesanan akan dieksekusi setelah pasar buka.

• Market Orders In Shares

  Jenis pesanan ini memungkinkan nasabah untuk memasukkan pesanan dalam sejumlah saham, mulai dari 0,0000000001, tetapi dikenakan minimal $0.3. Nasabah bertransaksi dengan harga pasar dan pesanan dieksekusi segera dengan harga pasar yang tersedia (jika pasar buka). Jika pasar tutup, pending order dibuat dan pesanan akan dieksekusi setelah pasar buka.

• Limit Order

  Jenis pesanan ini memungkinkan nasabah untuk memasukkan pesanan dalam jumlah saham mulai dari 1 (saham pecahan tidak didukung untuk pesanan limit order). Tujuan dengan limit order adalah untuk menentukan harga yang diinginkan nasabah untuk diperdagangkan ("harga limit") dan eksekusi akan berada pada harga limit, atau lebih baik dari harga limit. Contoh, jika nasabah menetapkan pesanan untuk membeli 1 saham Apple dengan harga limit $ 125, pesanan hanya akan dieksekusi pada $ 125,atau lebih rendah dari $ 125. Limit orders yang ditempatkan di aplikasi PG Berjangka berlaku-sampai-dibatalkan, yang berarti pesanan akan tetap mengantri sampai pesanan tereksekusi, atau nasabah membatalkan pesanan antrian. Nasabah harus selalu membiasakan untuk memantau pesanan antrian secara teratur dan membatalkan apa pun yang tidak lagi diinginkan.

• Perdagangan Opsi
  Jenis transaksi ini memungkinkan Nasabah untuk membeli atau menjual kontrak opsi, dimulai dengan minimum 1 lot yang setara dengan 100 lembar saham. Transaksi nasabah berlaku dengan harga pasar dan pesanan dieksekusi segera dengan harga pasar yang tersedia (jika pasar buka). Jika pasar tutup, pending order dibuat dan pesanan akan dieksekusi setelah pasar buka.
  
  Dalam perdagangan Opsi, kuotasi harga yang diperdagangkan merupakan premi dari transaksi Opsi tersebut. Pilihan kontrak yang dimunculkan pada platform adalah kontrak yang akan kadaluarsa dalam jangka waktu 1, 2, 3, 4, 5 dan 9 minggu.
  
  Pada tanggal kadaluarsa kontrak, posisi terbuka Nasabah akan ditutup dan dilikuidasi 30 menit sebelum waktu penutupan pasar pada tanggal kadaluarsa kontrak (expiry date) dengan mekanisme Market Order. Nasabah disarankan untuk menutup posisinya lebih awal dari 30 menit sebelum waktu penutupan pasar pada tanggal kadaluarsa kontrak. Dalam hal Nasabah belum melakukan penutupan, maka harga akan mengikuti harga yang ditentukan pialang PALN. Seluruh transaksi Opsi akan diselesaikan dengan cara penyelesaian tunai dengan formula:
  
  P/L = (Harga Penutupan - Harga Pembelian) x 100 lembar
  
  Dalam hal tidak ada likuiditas pasar di tanggal kadaluarsa kontrak di 30 menit sebelum waktu penutupan perdagangan, maka transaksi Opsi akan diselesaikan dengan cara penyelesaian tunai dengan harga penutupan yang ditentukan oleh Pialang PALN dengan formula yang sama seperti di atas.

DIVIDENDS

Karena kontrak didasarkan pada ekuitas yang diperdagangkan di bursa di amerika serikat, nasabah akan menerima dividen jika nasabah memiliki kontrak sehari sebelum tanggal ex- dividen. Pada tanggal pembayaran dividen, jumlah yang setara dengan dividen untuk setiap eksposur saham yang dimiliki akan dibayarkan ke akun perdagangan nasabah, setelah dipotong pajak. Pemotongan pajak ini tidak dapat dihindari

KUOTASI DAN DATA PASAR

Pialang PALN dapat memberikan informasi kepada nasabah mengenai nilai posisi kontraknya berdasarkan harga pada penutupan hari pasar terakhir. Data hanya untuk tujuan informasi dan tidak mencerminkan harga yang mungkin diterima pelanggan jika dia menutup kontrak. Nasabah juga mengetahui bahwa kuotasi, dan informasi yang diberikan berdasarkan kuotasi, diperoleh dari sumber yang diyakini dapat diandalkan oleh Pialang PALN, namun Pialang PALN tidak menjamin keakuratan dan kelengkapan kuotasi atau informasi tersebut.

RIWAYAT AKTIVITAS NASABAH

• Transaksi keuangan - setiap transaksi yang mempengaruhi akun Nasabah - setoran, penarikan, perdagangan , dan lain-lain;

• Konfirmasi perdagangan - rekapitulasi dari semua perdagangan yang dieksekusi di akun Nasabah;

• Laporan bulanan –laporan bulanan dari seluruh transaksi akun Nasabah

PEMBERITAHUAN

• Nasabah dapat melihat laporan transaksi (statement) langsung dari trading platform;

• Spesifikasi daftar kontrak terdapat pada lampiran I (“Daftar Kontrak”

Nasabah dengan ini mengerti dan menyadari bahwa peraturan transaksi dan/atau lampirannya dapat berubah sewaktu-waktu untuk penyesuaian atas ketentuan regulasi yang berlaku, oleh karenanya nasabah dengan ini menyatakan telah mambaca, mengerti, memahami dan menyetujui peraturan transaksi berikut dengan lampirannya, serta segala perubahan, penambahan dan/atau perbaikan yang terjadi dikemudian hari yang merupakan satu kesatuan atas peraturan transaksi ini

THE BROKER

The offshore broker acting as PALN Broker is Alpaca Securities, LLC and Atomic Vaults Securities, LLC, a broker-dealer registered with the United States Securities and Exchange Commission (“SEC”) and is a member of the Financial Industry Regulatory Authority (“FINRA”)

FRACTIONAL SHARE

A fractional share is a share of equity that is less than one full share. Fractional share investing has certain limitations and restrictions that investors should understand prior to purchasing fractional shares

COUNTERPARTY

When transacting contracts on this Service, you transact directly with PALN Broker and not on any exchange or other external market or venue. Any contracts traded are non-transferable. All open positions can only be closed with PALN Broker

EXECUTION FACTORS

• Price - the PALN Broker’s price for a given instrument is determined by reference to the price of the relevant underlying instrument. PALN Broker obtains this price from third party external reference sources. For PALN Broker’s equities instruments, a third-party exchange will be used to obtain the price.

• Quantity - PALN Broker. The maximum quantity that may be traded will be dictated by the availability of equities on the underlying market and the free tradable cash (buying power) available on the Customer's trading account. The minimum quantity that may be traded is 0.000000001 shares, but subject to a minimum of $1.0

• Execution venue - for the contracts traded on this Service, PALN Broker is your sole venue. PALN Broker will fully hedge out all Customer positions with external liquidity providers, where those liquidity providers use various exchanges to execute the underlying instrument. All contracts are backed in full by the corresponding underlying instrument

• Products - The products offered through this Service will be contracts based on listed equities traded in U.S. markets. These contracts can be traded using the Foreign Single Stock mechanism (including ETFs) through Market Orders, Limit Orders, or the Options trading mechanism.

  *Trading hours are subject to change depending on the country of origin (US) including trading/ public holidays.
  * Please note this time will change when Daylight Saving Time starts in the United States, when the Jakarta time will move an hour earlier (Daylight Saving Time in the United States is from spring to autumn)

  *During pre-market and post-market hours, only limit orders can be executed.

  *Trading using the options mechanism can only be conducted in Session 2.

  Customer can enter orders to buy or sell a stock at any time, day or night, however, your orders will only be executed when the underlying stock market is open. Your order will be pending until the market is open, or, in the case of Limit Orders, when the stock reaches your Limit price.

  Customer can easily see if the market is open on your PG Berjangka home screen - this will be indicated on the Home screen of the app, with the US Markets showing "Live".
  
  

DEPOSIT AND MARGIN REQUIREMENT

• Fractional share trading - you can buy any stock from a minimum of $1.0

The contracts offered on this Service are margined at maximum 100%. For short positions, the contracts traded will be subject to a margin call when equity has reached 70% and force liquidation would occur when equity reaches 10%.

Every deposit that occurs will be converted into USD, and will be subject to a conversion rate based on the system. Likewise for the withdrawal process will be subject to conversion rates

ORDER TYPE

We support 4 (four) different order types at the moment - Market Orders in Dollars, Market Orders in Shares, Limit Orders and Options Trading.

• Market Orders In Dollars

  This order type allows Customer to input an order in a dollar amount, starting with a minimum of $0.3. Customer trade at the prevailing market price and the order is executed immediately at the available market price (if the market is open). If the market is closed, a pending order is created and the order will be executed once the market opens.

• Market Orders In Shares

  This order type allows Customer to input an order in numbers of shares, starting at 0.000000001, but subject to a minimum of $0.3. Customer trades at the market price and the order is executed immediately at the available market price (if the market is open). If the market is closed, a pending market order is created and the order will be executed once the market opens.

• Limit Order

  This order type allows Customer to input an order in share amounts starting at 1 (fractional shares are not supported for limit orders). The goal with a limit order is to define the price Customer is willing to trade at (the "limit price") and the execution will be at the limit price, or better than the limit price. For example, if you set an order to buy 1 share of Apple at a limit price of $125, the order will only execute at $125, or lower than $125. Limit Orders placed on the PG Berjangka app are good-until-cancelled, which means they will remain queued either until they execute, or you cancel the queued order. It is good practice to monitor your queued orders regularly and cancel any that you no longer want

• Options Trading
  This type of transaction allows Customers to buy or sell option contracts, starting with a minimum of 1 lot equivalent to 100 shares. The customer's transaction occurs at the current market price, and the order is executed immediately at the available market price (if the market is open). If the market is closed, a pending order is created, and the order will be executed once the market opens.
  
  In options trading, the quoted price being traded represents the premium of the options transaction. The contract options displayed on the platform are those set to expire within 1, 2, 3, 4, 5, or 9 weeks.
  
  
  On the contract expiration date, the Customer's open positions will be closed and liquidated 30 minutes before the market closes on the expiration date using a Market Order mechanism. Customers are advised to close their positions earlier than 30 minutes before the market closes on the expiration date. If the Customer has not closed the position, the price will follow the price determined by the PALN broker. All options transactions will be settled in cash using the following formula:
  
  
  
  P/L = (Closing Price - Purchase Price) x         100 shares
  
  In the event that there is no market liquidity 30 minutes before the trading close on the contract expiration date, the options transaction will be settled in cash at the closing price determined by the PALN Broker, using the same formula as above.

DIVIDENDS

As the contracts are based on equities traded on exchanges in the United States, Customer will receive a dividend if Customer owns the contract the day before the ex-dividend date. On the dividend payment date, an amount equivalent to the dividend for each share you have exposure to will be paid into your trading account, net of a withholding tax. This withholding tax is unavoidable.

QUOTES AND MARKET DATA

PALN Broker may provide Customer information regarding the value of his contract positions based on the price at the close of the latest market day. The data is for informational purposes only and does not reflect the price Customer may receive if he closes the contract. Customer also acknowledges that the quotes, and information provided based on quotes, are obtained from sources that PALN Broker believes to be reliable, but that PALN Broker does not guarantee the accuracy and completeness of such quotes or information

CUSTOMER ACTIVITY HISTORY

• Financial transactions - any transactions that affect the Customer's account - deposits, withdrawals, trades, etc.;

• trade confirmation - summary of all executed trades in the Customer's account;

• Monthly statement – monthly statement containing all transactions and balances on the Customer accounts

NOTICE

• Customers can view transaction reports (statements) directly from the trading platform;
