Atossa shares now trade with stapled CVRs linked to potential priority review voucher value.

Atossa Therapeutics announced that each share of its common stock will now trade with one attached contingent value right (CVR), linked to potential proceeds from a future priority review voucher (PRV) if awarded by the FDA. The CVRs remain stapled to shares and transfer together, entitling holders to 25% of net proceeds from the first qualifying PRV, capped at $50 million. This structure aligns shareholder interests with potential PRV value while allowing Atossa to maintain strategic flexibility. No PRV has yet been awarded, and the CVRs apply to PRVs received by December 31, 2036, subject to board extension.
