Medtronic offers shareholders a tax-free exchange to swap shares for MiniMed stock amid spin-off plans.

Medtronic has launched an exchange offer allowing its shareholders to swap their Medtronic shares for MiniMed Group shares at a 7% discount, expected to be tax-free for U.S. federal income tax purposes. MiniMed, formerly Medtronic's Diabetes business, went public in March 2026 with Medtronic retaining about 90% ownership. This move aims to spin off at least 80.1% of MiniMed shares, enabling MiniMed to operate independently and allowing Medtronic to focus on its Cardiovascular, Neuroscience, and Surgical divisions. The offer is voluntary, with conditions including a minimum number of shares tendered and legal tax opinions, and is expected to conclude around October 9, 2026.
