Baldwin Group to go private at $32.50/share amid downgrade and legal scrutiny

Baldwin Group is going private in a $7.7 billion all-cash deal led by Sequence Holdings and DFO Management, offering shareholders $32.50 per share, an 88% premium over the June 2026 price. The transaction will delist Baldwin from Nasdaq and is expected to close in early 2027, pending approvals. William Blair downgraded the stock to Market Perform due to limited upside, while law firms launched investigations into whether the deal fairly values shareholders and if the board acted properly.
