ADW Capital Management, holding about 4.8% of Driven Brands, publicly urged the company's board and controlling shareholder Roark Capital to initiate an immediate public sale or strategic review of the company. ADW criticized the board for rejecting its $18 per share buyout offer without due diligence, calling the rejection disingenuous and accusing the board of ignoring other potential buyers. They argue the company's stock is undervalued and that Roark has no viable exit strategy through public markets. ADW insists the board must act now to unlock shareholder value by either selling the entire company or divesting its parts, warning that continued inaction harms shareholders and trust in management.
