(LIEN) have agreed to merge, with REFI electing to become a business development company (BDC) and merging into LIEN in an all-stock deal. The combined company will operate as LIEN on Nasdaq, aiming to enhance scale, diversify its portfolio, and improve access to capital, particularly focusing on lending to cannabis and lower middle-market companies. The merger, expected to close in Q4 2026 pending approvals, is projected to create a stronger platform with a pro-forma net asset value of $613 million and a portfolio of $771 million. The boards believe this strategic move will unlock value, improve liquidity, and support earnings growth over time.
