IP Group PLC has unanimously rejected a takeover proposal from Railpen, one of its largest shareholders, stating the offer undervalued the company and its future prospects. The offer included 59 pence per share in cash plus indirect value from IP Group's stake in Oxford Nanopore Technologies and a contingent value right related to a drug developer. Despite a slight premium over the market price, the offer was about 37% below IP Group's net asset value. Railpen, leading a pension fund consortium, has until July 20 to make a firm offer or withdraw. IP Group remains confident in its independent growth, having realized over £250 million since 2024 and repurchased about 15% of its shares.
