AtlasClear Holdings has signed a Letter of Intent to acquire Ark Financial Services and its subsidiary Dawson James Securities, adding investment banking and capital markets origination to its platform. The acquisition, payable in cash and stock, is expected to be accretive in the first year and will increase AtlasClear's annualized revenue to about $45 million with $5 million in net income. The deal will close in two steps pending regulatory approvals, and AtlasClear plans to integrate Dawson James’s clearing activities to capture more economics internally. This move is part of AtlasClear’s broader strategy to expand its financial services platform across multiple asset classes and banking services.
