Key changes include annual director elections starting in 2030, simplified capital structure, and new voting rights aligning with US market standards. Vereniging Aegon will rename to Vereniging Aegon Americas, retain its 18.4% stake, and transfer Dutch charitable activities to a new foundation funded with EUR 500 million. The governance changes and relocation require shareholder approval at an extraordinary meeting in late 2026.
