About DFI Retail Nusantara Tbk.

The company began its commercial operations in August 1972. Hero is Indonesia’s largest supermarket chain with a network of 66 supermarkets, consisting of 44 stores in Greater Jakarta and 22 stores in major regional cities. Supermarket operations account for about 90% of sales complemented by an array of retail formats including convenience stores, mini markets, and pharmacies. The company’s mission is to be the leading modern food retailer in Indonesia in terms of sales and profits, targeting the middle to upper income consumer segments where buying power is greatest. As the economy begins to gather strength, HERO has relatively aggressive expansion plans drawing upon its established brand, a reputation for fresh quality foods, friendly experienced staff, best service, a leading position in category and space management and efficient centralized distribution infrastructure. In 1998 the acquisition of a 32% effective interest in Hero by Dairy Farm International contributed significant international experience and expertise to the local knowledge and insight of Hero’s management as well as recognition of the potential of Indonesia as one of the most attractive growth markets in South East Asia over the medium long term.

PT Lippo Securities Tbk (the Parent Company) was established on June 20, 1989 based on notarial deed No.514 of Misahardi Wilamarta, S.H. The deed of establishment was approved by the Ministry of Justice of the Republic of Indonesia (MOJ) in its decision letter No.C2-6029.HT.01.01TH.89 dated July 6, 1989, and was published in the State of Gazette No.80 Supplement No. 3904 dated October 5, 1990. Its articles of association has been amended several times, most recently by notarial deed No.113 of Ny. Poerbaningsih Asi Warsito, S.H., dated July 30,1999, concerning among others, the adjustments to effect the Regulation No.IX.D.I. On December 20, 1999, the Parent Company submitted a letter to the Chief of the Capital Market Supervisory Board requesting for the revocation of its business license as broker, in connection with the merger of its brokering activities with PT Ciptadana Sekuritas, a subsidiary. This request was approved by the Chief of the Capital Market Supervisory Board based on its decision letter No. 01/PM/2000 dated January 5, 2000.In view of the foregoing, PT Bursa Efek Jakarta in its letter No.S.024/BEJ.ANG/01-2000 dated January 12, 2000 and PT Bursa Efek Surabaya in its letter No. T1-003/AGT/BES/I/2000 dated January 1, 2000, cancelled their Approval Letter on Stock Exchange Membership (Surat Persetujuan Anggota Bursa) issued to the Parent Company effective January 13, 2000 and January 4, 2000, respectively. Accordingly, the Parent Company is required to sell its investments in shares of stock of PT Bursa Efek Jakarta and PT Bursa Efek Surabaya.
